Terms of Service

Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-exclusive, revocable license to access and use the Service.

If you download or use the Service on an Apple-branded product, the license granted to you is limited to a non-transferable, non-exclusive license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions (including the App Store Terms of Service).

You may not copy, modify, distribute, sell, rent, reverse engineer, or create derivative works of the Service except as expressly permitted by these Terms or applicable law.

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. You are responsible for the activity that occurs under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized access.

You agree not to:

• Upload illegal, harmful, harassing, infringing, or sexually explicit content.
• Impersonate others, misrepresent affiliation, or submit fraudulent verifications.
• Scrape, abuse, or attempt to disrupt the Service or its underlying infrastructure.
• Use the Service in violation of any applicable law, regulation, or third-party right.
• List, sell, purchase, possess, transport, or ship coral, livestock, or other products in violation of any applicable law, regulation, permit, license, conservation requirement, or shipping restriction.

We may suspend or terminate accounts that violate these Terms at our discretion.

You retain ownership of the photos, videos, comments, and other content you submit ("User Content"). By submitting User Content, you grant us a transferable, worldwide, royalty-free, sublicensable, perpetual license to host, store, reproduce, modify (for formatting), create derivative works based upon, publicly display, market, promote and distribute that content for the purpose of operating, promoting, providing, and improving the Service.

You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

ReefRanks may display product links and information from third-party vendors. Estimated coral values, listing matches, rankings, analytics, and market data are informational only and are not guarantees of sale value, availability, or financial outcome. ReefRanks does not own or control these third-party active listings. Pricing and availability is sourced from third-party vendors and may be inaccurate, outdated, or change at any time. Purchases are completed directly through the third-party vendors. You are responsible for independently verifying any information.

ReefRanks provides a marketplace that allows eligible users and vendors ("Sellers") to list and sell coral and related products directly to other users ("Buyers"). ReefRanks is a marketplace platform and is not the seller, purchaser, owner, distributor, shipper, or supplier of items listed by Sellers.

All marketplace transactions are directly between the Buyer and Seller. ReefRanks is not a party to the underlying sale and does not take title to, possession of, or control over marketplace products.

Sellers are solely responsible for their listings, including the accuracy of listing information, product descriptions, pricing, availability, condition, authenticity, legality, packaging, shipping, fulfillment, customer service, refunds, and compliance with applicable laws and regulations.

ReefRanks does not guarantee the quality, authenticity, condition, safety, legality, availability, or delivery of any marketplace product and does not guarantee that a Seller will fulfill an order.

Seller Legal and Livestock Compliance

Sellers are solely responsible for complying with all applicable federal, state, local, and international laws, regulations, permits, licenses, registrations, and other legal requirements relating to the possession, propagation, sale, transfer, packaging, labeling, transportation, and shipment of coral, live aquatic organisms, livestock, and other products offered through the Marketplace.

This includes determining whether a product may legally be sold, possessed, transported, or shipped to a particular destination and obtaining and maintaining any required licenses, permits, registrations, certifications, or approvals.

Sellers are solely responsible for complying with all applicable wildlife, livestock, environmental, invasive-species, conservation, animal-health, and shipping requirements and for complying with the requirements of applicable carriers and government authorities.

ReefRanks does not determine whether a Seller or product is legally authorized for sale or shipment and does not provide legal or regulatory advice.

Marketplace Fees and Payment Processing

ReefRanks charges Sellers a marketplace platform fee based on the Seller's applicable ReefRanks subscription tier. The applicable marketplace selling fee may vary by subscription tier and is calculated according to the fee schedule disclosed by ReefRanks.

Unless otherwise disclosed, the ReefRanks marketplace selling fee is calculated on the merchandise subtotal plus applicable shipping charges and does not include sales tax.

ReefRanks receives only its applicable marketplace platform fee from marketplace transactions. Payment processing is provided through third-party payment processors, including Stripe and Stripe Connect.

Sellers are responsible for applicable payment processing fees and other third-party transaction fees associated with their marketplace sales. These fees may be deducted from amounts otherwise payable to the Seller.

Taxes

Sellers are solely responsible for determining and satisfying their tax obligations arising from marketplace sales, including applicable sales tax, use tax, registration, collection, reporting, and remittance obligations, except to the extent applicable law requires otherwise.

Sellers are responsible for maintaining accurate tax information and registrations with applicable payment processors and tax authorities. ReefRanks does not provide tax, legal, or accounting advice. ReefRanks does not collect, hold, or remit sales tax.

Sales tax or other taxes collected in connection with a marketplace transaction are not included in the ReefRanks marketplace selling fee.

Orders, Refunds, and Disputes

Buyers and Sellers are solely responsible for resolving disputes arising from marketplace transactions, including disputes concerning products, condition, authenticity, pricing, shipping, delivery, damage, cancellations, refunds, or fulfillment.

Sellers are responsible for processing and funding refunds relating to their marketplace orders. ReefRanks may provide marketplace tools or facilitate communications between Buyers and Sellers, but is not responsible for resolving or paying claims arising from transactions between Buyers and Sellers.

Unless otherwise required by applicable law, ReefRanks is not responsible for losses, damages, refunds, chargebacks, disputes, or other claims arising from a marketplace transaction between a Buyer and Seller.

Sellers are solely responsible for ensuring that each order can legally be fulfilled and shipped to the Buyer's destination and for any consequences arising from a Seller's failure to comply with applicable laws, regulations, permits, licensing requirements, or shipping restrictions.

ReefRanks may, at its discretion, remove listings, restrict marketplace access, suspend Sellers, or take other enforcement action when it determines that a listing, transaction, or Seller violates these Terms or applicable law.

Stripe Connect

Marketplace payments and Seller payouts are processed through Stripe Connect. Sellers may be required to complete Stripe's account verification and onboarding requirements and maintain an eligible connected account in order to receive marketplace payments.

By participating as a Seller, you authorize ReefRanks and its payment processing providers to facilitate marketplace payments and payouts through Stripe Connect and agree to comply with Stripe's applicable terms and requirements.

ReefRanks does not control Stripe's payment processing, account verification, payout timing, fees, or other third-party services.

Parts of the Service use artificial intelligence — including for coral identification, photo verification, content moderation, and certain data enrichment. AI systems are not 100% accurate and can make mistakes, including, but not limited to, misidentifying a coral, accepting or rejecting a photo incorrectly, or producing inaccurate descriptions or data. AI-generated data is not guaranteed to be correct, complete, or current.

You should not rely on AI-generated output as authoritative. Always do your own research and independently verify important information before acting on it.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR ANY DIRECT OR INDIRECT BUSINESS LOSSES, LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, OR OTHER DAMAGES CAUSED BY YOUR RELIANCE ON AI-GENERATED OUTPUTS FROM THE SERVICE.

You agree that we may collect and use technical and related information — including, but not limited to, device information, system and application software, peripherals, and usage data — that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Service, and to improve our products and offer further services to you. Our handling of personal data is described in our Privacy Policy.

The Service may offer paid features, including auto-renewing subscriptions purchased through in-app purchase on the App Store or another platform. Unless you cancel at least 24 hours before the end of the current period, your subscription will automatically renew at the then-current price, and your payment method will be charged for the next period.

You can manage and cancel auto-renewal at any time in your platform account settings. Deleting the app does not, by itself, cancel an auto-renewing subscription. Except where required by law, payments are non-refundable.

Cancelling or downgrading a subscription does not entitle you to a refund for the current billing period. Your existing subscription tier will remain active through the end of the period you have already paid for, and the cancellation or downgrade will take effect at the end of that billing period.

Your use of the Service and participation in marketplace transactions may involve third-party beneficiaries and service providers — including app stores, payment processors such as Stripe and Stripe Connect, wireless carriers, internet providers, and vendor websites whose listings we surface. Their own terms, conditions, privacy policies, and fees (including data, messaging, currency conversion, and transaction fees) may apply. You are solely responsible for understanding and complying with those terms and for any charges they impose.

You acknowledge and agree that Apple Inc. and Apple's subsidiaries are third-party beneficiaries of these Terms when you use the Service on an Apple-branded product, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-assisted features, coral data, or vendor information will be accurate or complete. Your use of the Service is at your own risk.

We make no warranties regarding any marketplace Seller, Buyer, marketplace listing, product, order, shipment, delivery, refund, or transaction between Buyers and Sellers.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, LIVESTOCK, SYSTEM FAILURES, OR DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REEFRANKS WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, REFUND, CHARGEBACK, DISPUTE, PRODUCT DEFECT, INJURY, SHIPMENT ISSUE, DELIVERY FAILURE, TAX OBLIGATION, PAYMENT PROCESSING ISSUE, OR OTHER LIABILITY ARISING FROM OR RELATING TO A TRANSACTION BETWEEN A BUYER AND SELLER OR ANY PRODUCT OR SERVICE OFFERED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

The Service is owned and operated by ReefRanks, LLC. The Service and all related software, source code, designs, text, graphics, images, logos, trademarks, service marks, trade dress, icons, audio, video, data compilations, look and feel, and other content (other than User Content) are the property of ReefRanks, LLC or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

"ReefRanks", the ReefRanks logo, and related names and marks are the property of ReefRanks, LLC. You may not use, copy, reproduce, modify, distribute, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, decompile, or create derivative works of any part of the Service, in whole or in part, without our prior written consent, except as expressly permitted by these Terms or applicable law.

All rights not expressly granted to you in these Terms are reserved by ReefRanks, LLC and its licensors.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

We may update these Terms from time to time. Material changes will be communicated through the Service or by updating the "Effective as of" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
